Frequently Asked Questions (FAQ)

What is a Contract Lifecycle Management platform?

Mekari Sign is an electronic contract lifecycle management platform, a solution for managing all contract stages in one dashboard.

Starting from creating, uploading, sending, signing, to storing documents and renewing contracts. Everything can be done and completed in one digital workflow without changing applications.

What is an e-Contract (Electronic Contract)?

e-Contract is a legally binding agreement that is created, negotiated, and executed entirely in a digital format. It replaces the traditional process involving physical paper, ink signatures, and manual delivery, allowing for a faster, more efficient, and secure way to formalize agreements.

Yes, absolutely. Electronic contracts are fully recognized and legally enforceable in Indonesia. Their validity is explicitly established under Law No. 11 of 2008 concerning Information and Electronic Transactions (the “ITE Law”). This law confirms that an electronic contract has the same legal power and consequences as a conventional paper-based contract.

For an e-Contract to be valid in Indonesia, it must satisfy two sets of legal requirements:

  1. General Contract Law Requirements (from the Indonesian Civil Code, Article 1320):
    • Consent: Mutual agreement between the parties.
    • Capacity: The parties must be legally capable of entering into a contract.
    • A Specific Subject Matter: The object of the agreement must be clear.
    • A Lawful Cause: The purpose of the contract must not violate any laws or public order.
  2. ITE Law Requirements for Electronic Transactions:
    • The contract must be stored in a way that it can be accessed and displayed for future reference.
    • There must be consent from the parties, expressed electronically.
    • It must be created using a reliable and secure electronic system.

Switching to e-Contracts offers significant advantages for modern businesses:

  • Speed and Efficiency: Finalize agreements in minutes, not days. Eliminate delays from printing, shipping, and manual signing.
  • Cost Savings: Drastically reduce operational costs related to paper, ink, printing, and courier services.
  • Enhanced Security: e-Contracts on platforms like Mekari Sign are protected by encryption and a detailed audit trail, making them more secure against forgery and tampering than paper documents.
  • Accessibility and Convenience: Create, send, and sign contracts from anywhere, at any time, on any device.
  • Easy Archiving and Retrieval: Documents are stored securely in a centralized digital archive, making them easy to search for and manage.

A secure e-Contract is signed using a Certified Electronic Signature. This type of signature is issued by a Certification Authority (CA) known in Indonesia as a PSrE (Penyelenggara Sertifikasi Elektronik), that is officially recognized by the government (Komdigi).

Mekari Sign is a registered PSrE. This means our electronic signatures are cryptographically linked to a user’s verified identity (through an e-KYC process), ensuring the signature is unique, secure, and legally non-repudiable.

An e-Contract from a trusted platform is a very strong form of evidence. Its authenticity is supported by a comprehensive Audit Trail (Jejak Audit). This audit trail is a digital log that automatically and chronologically records every action taken on the document, including:

  • Who created and sent the document.
  • The exact time and date each party viewed and signed it.
  • The IP addresses and device information of the signers.
  • Proof that the document has not been altered after signing.

Mekari Sign is an end-to-end solution for managing your contracts digitally:

  • Creation and Collaboration: Use pre-approved templates or upload your own drafts and collaborate with stakeholders.
  • Secure Signing Workflow: Send contracts to multiple parties in a specific order for review and signature.
  • Integrated Legality: Seamlessly add Certified Digital Signatures and e-Meterai (Indonesian Digital Stamp Duty) in one platform.
  • Automated Reminders: The system automatically follows up with signers to prevent delays.
  • Centralized & Secure Archiving: All completed contracts are stored in a secure, organized digital repository for easy access and management.
